1. GENERAL PROVISIONS

1.1. These Terms and Conditions (hereinafter – "Terms") constitute a legally binding agreement between Insoda, UAB (trading as mr.Soda.lt), hereinafter referred to as the "Seller", and the customer, hereinafter referred to as the "Buyer".
1.2. The Seller reserves the right to amend, correct, or supplement these Terms at any time. The Buyer will be informed of any changes on the E-shop website.
1.3. By placing an order, the Buyer acknowledges that they have read, understood, and agreed to be bound by these Terms.

3. FORMATION OF THE CONTRACT

3.1. A Purchase-Sale Contract is considered concluded between the Buyer and the Seller when the Buyer forms a shopping cart in the E-shop, provides the necessary data, confirms compliance with these Terms, and clicks the "Pay" (or equivalent) button.
3.2. Every contract concluded is stored in the Seller’s database.

4. RIGHTS AND OBLIGATIONS

4.1. Seller’s Rights:

4.1.1. The Seller may temporarily or permanently suspend the operation of the E-shop without prior notice due to technical maintenance or important circumstances.
4.1.2. If the Buyer attempts to harm the stability or security of the E-shop or violates their obligations, the Seller has the right to restrict or suspend the Buyer’s access without warning.

4.2. Seller’s Obligations:

4.2.1. To enable the Buyer to use the E-shop services under these Terms.
4.2.2. To deliver the ordered goods to the address specified by the Buyer via the selected delivery method.
4.2.3. If the Seller cannot deliver the ordered goods due to unforeseen circumstances, the Seller may terminate the contract after informing the Buyer. The Seller may offer an analogous product. If the Buyer refuses the alternative, the Seller shall refund the paid amount within 3 (three) working days.

4.3. Buyer’s Obligations:

4.3.1. The Buyer must pay for the goods and accept them in accordance with these Terms.
4.3.2. If the Buyer refuses to accept the delivery without valid reason, the Buyer shall be liable for the return shipping costs upon the Seller's demand.
4.3.3. Upon delivery, the Buyer must inspect the condition of the shipment and the goods in the presence of the courier or the Seller’s representative.

5. PRICES AND PAYMENT

5.1. The prices of goods in the E-shop are indicated in Euros (€) and include VAT. Delivery fees (if applicable) are added to the total amount upon checkout.
5.2. Payments are processed via the MakeCommerce.lt platform.
5.3. Accepted payment methods include:

Electronic banking (Swedbank, SEB, Luminor, Citadele, Šiaulių bankas, etc.).

Payment cards (Visa / MasterCard).

5.4. Ordering Process:

5.4.1. Select items and add them to the "Cart".
5.4.2. Proceed to checkout and enter delivery details and contact information.
5.4.3. Enter a discount code (if applicable).
5.4.4. Click "Pay" to be redirected to the banking system.
5.4.5. Once payment is confirmed, the order is processed.

6. DELIVERY

6.1. The Buyer must provide an accurate delivery address.
6.2. The Buyer must accept the goods personally. If the Buyer cannot accept the goods personally, but the goods are delivered to the correct address provided, the Buyer cannot raise claims regarding delivery to the wrong person.
6.3. Delivery times are indicated in the product descriptions.
6.4. The Seller is not liable for minor discrepancies in the color, shape, or other parameters of the goods due to the characteristics of the Buyer's display monitor.

7. RIGHT OF WITHDRAWAL & RETURNS

This section combines statutory rights with the Seller's specific return policies.

7.1. Statutory Right of Withdrawal: The Buyer has the right to withdraw from the Purchase-Sale Contract within 14 (fourteen) calendar days from the date of delivery without giving any reason.

7.2. Conditions for Returning Goods: To qualify for a full refund, the following conditions must be met:

7.2.1. The item must be unused and in its original, undamaged packaging.

Note on Consumables: Sealed goods (e.g., CO2 cylinders, food items/syrups) cannot be returned if the seal has been broken after delivery, for health protection and hygiene reasons.

7.2.2. The item must be clean and retain its commercial appearance (labels intact, protective films not removed, etc.).
7.2.3. The item must be returned with the same set/accessories as received.
7.2.4. If the returned item was part of a bundle or included a free gift, the gift must also be returned in its original condition. If the gift is not returned, its value will be deducted from the refund amount.
7.2.5. Gift cards and vouchers are non-refundable.

7.3. Return Procedure:

Step 1: Pack the item securely in a protective bag or box.
Step 2: Include the Order Number and the Buyer’s Name/Surname inside the package.
Step 3: Send the package to the following address (at the Buyer's expense):

7.4. Refunds:

7.4.1. Upon receipt, the Seller’s quality control team will inspect the item. If the item complies with the return conditions, the money will be refunded to the Buyer’s bank account.
7.4.2. The Seller commits to processing the refund within 5 (five) working days from the date the returned goods are received (subject to statutory maximums).
7.4.3. If the Buyer withdraws from the contract (returns the whole order), the Seller refunds the cost of the goods and the original standard delivery fee. The Buyer is responsible for the cost of return shipping to the Seller.

7.5. Defective Goods (Warranty):


7.5.1. In the rare event of a manufacturing defect, the Buyer should contact info@mrsoda.lt immediately.
7.5.2. For defective items, the Seller will arrange for a replacement or refund and will cover the return shipping costs.
7.5.3. Warranty claims do not apply if the defect resulted from misuse, intentional damage, or improper care by the Buyer.

8. FINAL PROVISIONS

8.1. These Terms are governed by the laws of the Republic of Lithuania.
8.2. For consumers within the EU, this choice of law does not deprive the consumer of the protection afforded by provisions that cannot be derogated from by agreement by virtue of the law of the country where the consumer habitually resides (Rome I Regulation).
8.3. Dispute Resolution: All disagreements shall be resolved through negotiation. If an amicable agreement cannot be reached, disputes shall be settled in accordance with the laws of the Republic of Lithuania.
8.4. Consumers may also use the EU Online Dispute Resolution (ODR) platform: http://ec.europa.eu/odr.
8.5. Force Majeure: The parties are released from liability for failure to fulfill obligations if such failure is due to unforeseen circumstances beyond their control (Force Majeure).
